    Pursuant to the Share Exchange Agreement dated December 11, 2009, the
Company has acquired all of the issued and outstanding shares of JRL
Acquisition Corp. ("JRL") in consideration for the issuance to the
shareholders of JRL of 1,600,000 common shares of the Company at a deemed
price of $0.25 per share. The sole business of JRL is its ownership of 100% of
the issued and outstanding shares of American Beacon Partners, Inc. ("ABPI",
formerly Pavek Investments, Inc.), a United States managing broker dealer. In
addition, Beacon assumed the obligation to issue a non-interest bearing note
in the aggregate amount of US$450,000 which is required to be repaid as to
US$50,000 every six months, to Douglas Pavek upon his death, disability or
retirement from ABPI.
