    TSX Venture Exchange (the 'Exchange') has accepted for filing Cache
Exploration Inc.'s (the 'Company' or 'Cache') Qualifying Transaction (the
'QT') and related transactions, all as principally described in its filing
statement dated February 12, 2010 (the 'Filing Statement'). As a result,
effective at the opening Monday, March 1, 2010, the Company will no longer be
considered a Capital Pool Company. The QT includes the following matters, all
of which have been accepted by the Exchange:

    1.  Acquisition of the Bluff Lake Copper Property:

    On November 19, 2009 the Company signed an option agreement (the
"Agreement") with an independent, arms length private company named Candorado
Operation Company Ltd. (the "Vendor") pursuant to which the Company has the
option to acquire an undivided 70% interest (subject to a 2% NSR) in and to
the mineral properties comprising the Vendor's "Bluff Lake Copper Property"
located in the in the Cariboo mining district in BC (the "Property").
    To acquire its interest, the Company has agreed to expend a total of
$1,750,000 on the Property over a four year period:

    -   $100,000 on or before the first anniversary of the completion of the
        QT;
    -   An additional $150,000 on or before the second anniversary of the
        completion of the QT; and
    -   An additional $1,500,000 on or before the fourth anniversary of the
        completion of the QT.

    Insider/Pro Group Participation: None. At the time the Agreement was
entered into the Company was at arm's length to the Vendor.

    The Exchange has been advised that the above transactions, which did not
require shareholder approval of the Company, have been completed. For
additional information, refer to the Filing Statement, which has been accepted
for filing by the Exchange.
