Arrangement Agreement (the "Agreement") dated December 9, 2009 between Result
Energy Inc. (the "Company") and Nexstar Energy Inc. ("Nexstar"). Pursuant to
the terms of the Agreement the Company acquired all of the issued and
outstanding Class A shares (including Class B shares which were converted to
Class A shares) of Nexstar. These shares were exchanged for 1.05 common shares
of the Company at a deemed price of $0.28 per share and as a result of the
Agreement, 133,771,229 shares were issued. Nexstar is now a subsidiary of the
Company. The assets acquired include land and petroleum and natural gas
productions in the Pembina area of Alberta.

                             additional payment of $150 will be made. If the
                             debentures are redeemed in months 25 to 36, two
                             additional payments of $150 will be made.

    The consideration payable to the Vendor consists of $12,000 cash and
768,000 common shares of the Company. The Vendor will retain a 2% Net Smelter
Return Royalty and will retain a 'back-in' provision for any base metal
discovery on the claims, allowing it to earn a 60% interest in any copper,
nickel or zinc mineralization by reimbursing the issuer twice their
exploration expenditures and completing a scoping study within one year.
