           the basis of one Golden Alliance Warrant for each ten Golden
           Arrow Warrants held by each Golden Arrow Warrantholder as of the
           effective date of Wednesday, January 27, 2010; and

      iii. The exercise price of all outstanding Golden Arrow common share
           purchase warrants will be reduced by 10%; and

    (d) Golden Alliance will apply to be listed on the Exchange, with the
        Cocha Property as its qualifying property.
