purchase and sale agreements (the "Agreements"), each dated September 30, 2009
between Charles Mortimer (the "Vendor") and Red Pine Exploration Inc. (the
"Company"). Pursuant to the Agreements, the Company shall acquire 1) a 100%
interest in 7 unpatented mining claims located in Dore, Rollo and Swayze
Township, Porcupine Mining Division, Ontario; and 2) a 59% interest in 12

    As consideration, the Company shall pay the Vendor $50,000, issue

exercisable into a common share at a price of $0.15 for a period of two years.
    On the 59% acquisition, the Vendor shall retain a 1.2% NSR. The Company
has the right, at any time, to buy 50% of the NSR for the sum of $600,000.
    The Company will also pay an aggregate finder's fee of 250,000 common
shares to Hadyn Butler and Frank Racicot.
