business combination ('Combination') involving BSM Technologies Inc. (the
'Company' or 'BSM') and Datacom Wireless Corporation ('Datacom') whereby the
Company, through a wholly-owned subsidiary, acquired all of the issued and
outstanding shares of Datacom. According to the terms of the Combination,
Datacom shareholders received approximately 4.2421 BSM shares for each Datacom
share held and holders of Datacom options received approximately 4.2421 BSM
options (with the exercise prices adjusted proportionately) for each Datacom
option held. As well, the Company issued an aggregate of 65,755,555 preferred
shares ('Preferred Shares') to BSM debentureholders (other than Datacom, whose
debentures were cancelled) in exchange for all of the outstanding BSM
debentures. Each Preferred Share is convertible into common shares of BSM on a
one-for-one basis. The Company also issued an aggregate of 16,181,746 common
shares to BSM warrantholders (other than Datacom, whose warrants were
cancelled) in exchange for all of the outstanding BSM warrants. Lastly,
pursuant to a Purchase Agreement dated August 21, 2009, the Company issued
6,839,215 common shares to The Business, Engineering, Science & Technology
Fund Inc. and its affiliates.
