Consolidation:
Pursuant to a special resolution passed by shareholders of Lakeland Resources Inc. ("Lakeland") on September 15, 2015, Lakeland has consolidated its capital on a (3) three  old for (1)one new basis.  The name of Lakeland has been changed to ALX Uranium Corp. ("ALX").

Effective at the opening, Friday, September 25, 2015, the common shares of ALX Uranium Corp. will commence trading on TSX Venture Exchange on a post consolidation basis under the symbol "AL".  The Company is classified as a 'Mineral Exploration' company.

Plan of Arrangement
Pursuant to special resolutions passed by the shareholders of Alpha Exploration Inc. ('Alpha') on September 15, 2015, and pursuant to an order of the Supreme Court of British Columbia dated September 22, 2015, ALX Uranium Corp ("ALX") and Alpha will complete a plan of arrangement under Section 289 of the Business Corporation Act (BC).  The Plan of Arrangement will be completed prior to market open on Friday September 25, 2015, and will result in ALX acquiring all of the issued and outstanding shares of Alpha.  Under the Plan of Arrangement, shareholders of Alpha will receive 0.5 of an ALX Uranium Corp common share for each common share of Alpha that is outstanding.  In addition, holders of outstanding warrants of Alpha shall receive 0.5 of an ALX share upon exercise of such warrants.

TSX Venture Exchange Inc. (the "Exchange") has accepted for filing:  (i) and asset purchase agreement among Anfield Resources Inc. ("Anfield"), Anfield Resources Holding Corp. (the "Purchaser") and Uranium One Americas, Inc. ("Uranium One") dated August 14, 2014 as amended October 31, 2014, March 30, 2015, June 30, 2015 and August 14, 2015; (ii) an amended assignment and assumption agreement dated June 30, 2015 among Anfield, the Purchaser, Uranium One and US Energy Corp. ("US Energy"); and (iii) a memorandum of understanding dated June 11, 2015 among Anfield, the Purchaser, Uranium One and Ironshore Indemnity Inc. (collectively, the "Agreements").

Pursuant to the Agreements, Anfield will acquire the following principal assets:

1.     Shootaring Canyon Uranium Mill

The Shootaring Canyon Uranium Mill is located approximately 48 miles (77 kilometers) south of Hanksville, Utah.  The Shootaring Canyon Mill is a conventional acid-leach facility that is permitted to process up to 750 tonnes of ore per day, with a capacity to process up to 1,000 tonnes per day.

2.     Velvet-Wood Project

The Velvet-Wood Project is a uranium project is located in San Juan County, Utah.

3.     Frank M Deposit

The Frank M deposit is located approximately 12 km north of the Shootaring Canyon Mill.

4.     A 50% interest in the Wate Breccia Pipe in northern Arizona (the joint venture partner being Energy Fuels Inc.

5.     Royalty Portfolio

Royalty arrangements on four uranium development projects.  The royalty projects are not currently in production, and no royalty would be due to Anfield until commencement of production. The royalty arrangements are summarized as follows:

A 2% to 4% sliding scale production royalty on Azarga Uranium Corporation's (formerly Powertech (USA) Inc.) Dewey Burdock project in Custer and Fall River Counties, South Dakota.

A 2% net smelter returns royalty on Western Uranium Corporation's (formerly Pinon Ridge Mining LLC, which acquired the project from Energy Fuels Resources Corp.) San Rafael project in Emery County, Utah.

A 2% to 4% sliding scale gross value royalty on Energy Fuels Inc.'s Whirlwind project in Grand County, Utah.

A 1% royalty on Energy Fuels Inc.'s Energy Queen project in San Juan County, Utah.

6.     Surface Stockpiles

Two surface stockpiles. One of the stockpiles is located at the Shootaring Canyon Mill and the other surface stockpile is located in the Lisbon Valley, Utah.

As consideration for the assets acquired on closing Anfield will issue:

  1. 7,436,505 common shares to US Energy on closing;
  2. On the first anniversary of closing, common shares equivalent to US $750,000 to US Energy; and
  3. On the second anniversary of closing, common shares equivalent to US$1,000,000.

In addition, Anfield will issue 4,022,996 common shares to Uranium One.
