TSX Venture Exchange has accepted for filing documentation pursuant to a purchase agreement dated December 2, 2014 (the "Agreement") between StorageVault Canada Inc. (the "Company"), Access Self Storage Inc. ("Access") and Cubeit Portable Storage Canada Inc. ("Cubeit", together with Access, the "Vendors") pursuant to which the Company will purchase all of the portable storage assets and business of Cubeit and certain of the self-storage assets and business of Access, which will occur in two tranches. 

Pursuant to the first tranche closing of the Transaction (the "First Tranche"), the Company will acquire four self-storage locations with an aggregate of approximately 1,500 rental units.  The purchase price for the First Tranche is $26,475,000, of which $11,480,381 shall be paid by the issuance of 30,211,529 common shares ("Shares") at a deemed price of $0.38 per Share. 

Upon the closing of the second tranche of the Transaction (the "Second Tranche"), the Company will acquire five self-storage locations with an aggregate of approximately 2,500 rental units.  The purchase price for the Second Tranche is $25,700,000, subject to certain adjustments, of which $8,995,000 shall be paid by the issuance of 23,671,053 Shares at a deemed price of $0.38 per Share.  The balance of the purchase price may be paid in cash, promissory notes, Shares at $0.38 per Share, or any combination thereof.
