Plan of Arrangement:
The TSX Venture Exchange (the 'Exchange') has accepted for filing documentation in connection with an arrangement agreement dated February 6, 2015 (the 'Arrangement Agreement') between Tarsis Resources Ltd. (now 'Alianza Minerals Ltd.' –  the 'Company'), and Estrella Gold Corporation ('Estrella') (the 'Plan of Arrangement'). Pursuant to the Plan of Arrangement, the Company acquired all of the outstanding shares of Estrella, and issued 4,665,030 (post-consolidated) shares to former security holders of Estrella.

The Exchange has been advised that approval of the Plan of Arrangement by shareholders of Estrella was obtained and that approval of the Plan of Arrangement was received from the Supreme Court of British Columbia on April 17, 2015.

Name Change and Consolidation:
Pursuant to a resolution passed by the directors of the Company on February 5, 2015, the Company has consolidated its capital on a ten (10) old for one (1) new basis.  The name of the Company has also been changed as follows.

Effective at the opening Thursday, April 30, 2015, the common shares of Alianza Minerals Ltd. will commence trading on the Exchange, and the common shares of Tarsis Resources Ltd. will be delisted.  The Company is classified as a 'Metal Ore Mining' company.
