  1. The holders of common shares of Desert Star will be entitled to receive 1 common share of Amalco for each 1 common share held.
  2. The holders of common shares of Providence will be entitled to receive 0.4 of a common share of Amalco for each 1 common share held and 0.4 of an Amalco share purchase warrant exercisable for a period of two years at a price of $0.25.

The Exchange has been advised that: (i) approval of the Amalgamation was received from the disinterested shareholders of Desert Star and Providence, respectively, at meetings held on April 8, 2015; (ii) approval of the Amalgamation was received from the Supreme Court of British Columbia on April 9, 2015; and (iii) the Amalgamation will be made effective on April 15, 2015 at 12:01am.

Effective at the opening, Wednesday, April 15, 2015, the common shares of Desert Star Resources Ltd. (Amalco) will commence trading on the Exchange.  The Company is classified as a 'Mining Exploration' company.
