Terms:

The Debentures mature on March 31, 2018 and are redeemable in full by the Company after March 31, 2017.



Redemption:

The Debentures are not redeemable before March 31, 2016.  On and after March 31, 2016 but prior to March 31, 2017, the Debentures may be redeemed, at the option of the Company, in whole or in part, on not more than 60 days and not less than 30 days prior written notice at a price equal to the principal amount of the Debentures plus all accrued and unpaid interest up to but excluding the date of redemption, provided that the current market price on the date on which notice of redemption is given is not less than 125% of the Conversion Price (as stated below). On and after March 31, 2017 but prior to March 31, 2018, the Debentures may be redeemed, at the option of the Company, in whole or in part, on not more than 60 days and not less than 30 days prior written notice at a price equal to the principal amount of the Debentures plus all accrued and unpaid interest up to but excluding the date of redemption.

Subordination:

Conversion:
