Re:       New Exhibit 1 to Form 2A – Personal Information Form and Form 2C1 – Declaration

The Ontario Provincial Police (the "OPP") has notified TSX Venture Exchange ("TSXV") that it will require TSXV to use an updated Exhibit 1 with both the Form 2A – Personal Information Form ("PIF") and Form 2C1 – Declaration ("Statutory Declaration").  The identification requirements remain unchanged.

The new Exhibit 1 - Security Screening Check ("New Exhibit 1") will replace the current Exhibit 1 – Release and Discharge Relating to Consent to Disclosure of Criminal Record Information ("Old Exhibit 1").

Applicants should review New Exhibit 1 carefully. In addition to new and revised Third Party Disclosure and Release, Discharge and Consent sections, New Exhibit 1 contains additional fields for:

  • Email address and telephone number;
  • Country of birth;
  • Residential addresses for the past 5 years; and
  • (Optional) Driver's licence number.

TSXV will continue to accept PIFs and Statutory Declarations completed with the Old Exhibit 1 until January 31, 2015, but encourages applicants to begin using the New Exhibit 1 now.

Effective February 1, 2015, TSXV will only accept PIFs or Statutory Declarations with the New Exhibit 1.  TSXV will return PIFs or Statutory Declarations submitted on or after February 1, 2015 that do not attach the New Exhibit 1 and this may delay the review and clearance of those documents.

To assist you with accurately completing the New Exhibit 1, the OPP and TSXV have developed an information sheet.  The document, Security Screening Check – Information for the Applicant is posted on TSXV's website at:

Objet :   Nouvelle annexe 1 du formulaire 2A – Formulaire de renseignements personnels –  et du formulaire 2C1 – Déclaration

La Bourse de croissance TSX (la « TSXV ») a été avisée par la Police provinciale de l'Ontario (l'« O.P.P. ») qu'elle devra utiliser une annexe 1 mise à jour pour le formulaire 2A – Formulaire de renseignements personnels (le « FRP ») et le formulaire 2C1 – Déclaration (la « déclaration »). Les exigences en matière d'identification demeurent inchangées.

La nouvelle annexe 1 – Enquête de sécurité (la « nouvelle annexe 1 ») remplacera l'annexe 1 actuelle, intitulée Autorisation de révéler le contenu d'un casier judiciaire et décharge de responsabilité (l'« ancienne annexe 1 »).

Les requérants devraient examiner attentivement la nouvelle annexe 1. Outre les nouvelles sections révisées, intitulées Divulgation à une tierce partie et Libération, décharge et consentement, la nouvelle annexe 1 contient les nouveaux champs suivants :

  • Courriel et numéro de téléphone;
  • Pays de naissance;
  • Adresses de résidence des cinq dernières années;
  • Numéro de permis de conduire (facultatif).

La TSXV continuera d'accepter les déclarations et les FRP accompagnés de l'ancienne annexe 1 jusqu'au 31 janvier 2015, mais encourage les requérants à commencer à utiliser la nouvelle annexe 1 dès maintenant.

À compter du 1 février 2015, la TSXV n'acceptera que les déclarations et les FRP accompagnés de la nouvelle annexe 1, et elle retournera toute déclaration solennelle ou tout FRP qui n'est pas accompagné de la nouvelle annexe 1, ce qui pourrait retarder l'examen et l'approbation de ces documents.
