TSX Venture Tier 2 Company

TSX Venture Exchange has accepted for filing documentation for an Internalization Agreement (the "Agreement") dated January 7, 2015 between the REIT and NorthWest Value Partners Inc. ("NWVP") and NWI Healthcare Properties LP.  Pursuant to the Agreement, the REIT acquired NWI Asset Management Inc., NWI NZ Management Company Limited, Vital Healthcare Management Limited, Australian Properties Limited and NWI Management GmbH for a total consideration of $6,588,000, settled by the indirect assumption of liabilities by the REIT in the amount of $8,078,612 and a promissory note issued by NWVP to the REIT in the amount of $1,490,612.

In connection with the Agreement, the REIT is issuing up to 3,994,661 deferred units to the new employees of the REIT to settle the above-noted $8,078,612 liabilities. Of these, 1,711,412 will be fully vested and the balance will be subject to future vesting conditions.
