Qualifying Transaction - Completed:

TSX Venture Exchange has accepted for filing the Company's Qualifying Transaction ("QT") described in its Filing Statement dated December 30, 2014.  As a result, at the opening on Thursday, January 15, 2015, the Company will no longer be considered as a Capital Pool Company.

The QT consists of the acquisition of all the issued and outstanding securities of AlliancePharma Inc. ("AlliancePharma"), by way of a "three-cornered" amalgamation, in consideration of the issuance of the following securities:

  • 18,000,000 post-consolidated common shares of the Company to AlliancePharma's shareholders at a deemed issue price of $0.15 per post-consolidated share; and

A total of 18,000,000 post-consolidated common shares and $750,000 of convertible debentures issued to AllianceParma's shareholders are escrowed pursuant to an Exchange Tier 2 Surplus Escrow Agreement.
