TSX Venture Exchange has accepted for filing documentation  pursuant to an Share Purchase Agreement dated September 30, 2014 (the "Agreement") between the Company and Hutton Energy PLC, an arm's length, private oil and gas company (the "Purchaser"), whereby the Company has sold all of the issued and outstanding securities of the Company's wholly owned subsidiary, Newton Energy UK Limited ( "Newton UK"), to the Purchaser. In consideration, the Purchaser: (i) paid £500,000 upon the execution of the definitive agreement, less £45,000 for working capital adjustments; and (ii) will pay £250,000 on June 30, 2015. In addition, the Purchaser shall: (i) provide the Company with a 5% gross overriding royalty on any hydrocarbons sold under the licences to a maximum of £2,000,000; (ii) fund 100% of the costs to drill and complete or abandon one well on the Newton UK licences; (v) fund 100% of the costs of maintaining the licenses through June 30, 2015; (iii) provide the Company with 75% of the proceeds from a farm-in by a third party on the Newton UK licences prior to June 30, 2015 originated by the Company; and (iv) provide the Company with 25% of the proceeds from a farm-in by a third party on the Newton UK licenses prior to June 15, 2015 originated by the Purchaser "Purchaser Farm-ins"). The funds received by the Company pursuant to the Purchaser Farm-ins will be deducted from the £250,000 payment on June 30, 2015. 

Upon closing of this transaction, the Company will have disposed of all or substantially all its assets.

In accordance with TSX Venture Policy 2.5, upon closing of the above transaction the Company will not maintain the requirements for a TSX Venture Tier 2 company. Therefore, effective Monday, November 17, 2014, the Company's listing will transfer to NEX, the Company's Tier classification will change from Tier 2 to NEX, and the Filing and Service Office will change from Calgary to NEX.

As of Monday, November 17, 2014, the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The trading symbol for the Company will change from NTN to NTN.H.  There is no change in the Company's name, no change in its CUSIP number and no consolidation of capital. The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.

REMAIN HALTED:

Further to the TSX Venture Exchange bulletin dated July 14, 2014, the Company's common shares will remain halted.

The Company is classified as an 'Oil and Gas Exploration, Development and Production' company.
