TSX Venture Exchange Inc. has accepted for filing documentation in connection with an arrangement agreement between Avino Silver & Gold Mines Ltd. ("Avino") and Bralorne Gold Mines Ltd. ("Bralorne") dated July 31, 2014, as amended on August 25, 2014 (the "Agreement") pursuant to which Avino has agreed to acquire all of the issued and outstanding common shares of Bralorne that Avino does not already own by way of a plan of arrangement under the Business Corporations Act (British Columbia) (the "Transaction").  Under the Agreement the consideration payable by Avino is 0.14 of a common share in the capital of Avino in exchange for each Bralorne common share held by such Bralorne shareholder.

The Exchange has been advised that approval of the Transaction by the Bralorne shareholders was received at a general and special meeting of the shareholders held on October 9, 2014 and that approval of the Transaction was received from the Supreme Court of British Columbia on October 15, 2014.  The full particulars of the Transaction are set forth in the Bralorne Information Circular dated September 4, 2014 which is available under the Bralorne profile on SEDAR.

Delisting:

In conjunction with the closing of the Transaction, Bralorne has requested that its common shares be delisted.  Accordingly, effective at the close of business on Monday, October 20, 2014, the common shares of Bralorne will be delisted from TSX Venture Exchange Inc.

Insider / Pro Group Participation: Prior to the closing of the Transaction Avino and Bralorne were related parties and, as a result, approval of Bralorne shareholders was obtained in accordance with the requirements of Exchange Policy 5.9 and Multilateral Instrument 61-101.
