Effective at the opening on Tuesday, September 30, 2014, the common shares of Marsa Energy Inc. will commence trading on TSX Venture Exchange, and the common shares of Sanction Capital Corp. will be delisted. 

2.       Qualifying Transaction:

TSX Venture Exchange has accepted for filing Marsa Energy Inc.'s (formerly Sanction Capital Corp.) (the "Company") Qualifying Transaction described in its information circular dated August 14, 2014 (the "Information Circular").  As a result, at the opening on Tuesday, September 30, 2014, the Company will no longer be considered a Capital Pool Company.  The Qualifying Transaction includes the following:

The Qualifying Transaction consists of the arm's length acquisition by Sanction Capital Corp. ("Sanction") of all shares of Marsa Energy Inc. ("Marsa") through the amalgamation (the "Amalgamation") of Sanction and Marsa, such that the two companies will be amalgamated pursuant to the Business Corporations Act (Alberta) to continue as one company (Amalco),  such that:

(a)   Each outstanding share of Sanction (the "Sanction Share") will be converted into 0.09259259 of a common share of Amalco (the "Amalco Share"), and

(b)   Each outstanding Class A common share of Marsa (the "Marsa Share") will be converted into one Amalco Share.

The Qualifying Transaction will be for a consideration of 33,764,658 Amalco Shares at $1.35 per share for an aggregate deemed consideration of $45,582,288, exclusive of the shares issued pursuant to the Private Placements, as discussed below.

For further information on the Qualifying Transaction, please refer to the Company's Information Circular available on SEDAR.

The Exchange has been advised that the above transaction, approved by shareholders on September 11, 2014, has been completed.

5.       Name Change and Consolidation, Graduation from NEX to TSX Venture

The name of the Company has been changed to Marsa Energy Inc.  There is no consolidation of capital.

The Company has met the requirements to be listed as a TSX Venture Tier 2 Company.  Therefore, effective on Tuesday, September 30, 2014, the Company's listing will transfer from NEX to TSX Venture, the Company's Tier classification will change from NEX to Tier 2 and the Filing and Service Office will change from NEX to Calgary.
