Trading and Settlement Rules – August 1, 2014

8881723 Canada Inc. (the "Offeror") has made an offer dated June 13, 2014 to purchase all of the issued and outstanding Trust Units (the "Units") of BLF Real Estate Investment Trust (the "REIT") at a price of $7.50 per Unit in cash (the "Offer").  The offer (as extended) will expire at 5:00 p.m. (Eastern time) on August 1st, 2014 (the "Expiry Time"), unless withdrawn or extended.

The Offeror will have the right to withdraw or terminate the Offer and not take up and pay for any Units deposited under the Offer unless the conditions set out in the Offer are satisfied or waived by the Offeror prior to the Expiry Time, including the condition that there shall have been validly deposited under the Offer and not withdrawn as at the Expiry Time such number of Units representing 66 ⅔% of the issued and outstanding Units. Reference should be made to the Offer for full details of the conditions of the Offer.

Unitholders who wish to accept the offer must properly complete and duly execute the Letter of Transmittal and deposit it, together with certificates representing their Units, at the offices of Computershare Investor Services Inc. (the "Depositary") in Toronto so as to be received at the latest on the Expiry Time.  Alternatively, a holder of Units who wishes to deposit Units and whose certificates for such Units are not immediately available may deposit certificates representing such Units by following the procedures for guaranteed delivery set forth in the offer.

TSX Venture Exchange has been advised that no soliciting dealer group has been retained for the purposes of the Offer and no fee will be payable to any broker or dealer that solicits or facilitates acceptance of this Offer.

Mandatory Trading and Settlement Rules

The Trading and Settlement Rules described below will apply.

Purchasers may tender the Units purchased providing that such purchases are executed on or before August 1st, 2014 and providing that, when applicable, the notice of guaranteed delivery (the "Notice") is completed and filed with the Depositary on or before August 1st, 2014.

Sellers of the Units must be in a position to deliver such Units in time for the purchaser either to tender the Units on or before August 1st, 2014 or to meet the third day delivery deadline on any Notice that may have been filed by the purchaser. 

Notice of Guaranteed Delivery - Settlement Procedure
The Notice must be completed and received by the Depositary on or prior to the Expiry Time. The Letter of Transmittal along with the Units pertaining to the Notice must be received by the Depositary in Toronto on or prior to 6:00 p.m. (Eastern time) on the third TSX Venture Exchange trading day after the Expiry Time.

Mandatory Trading and Settlement Rules:

  1. All trades on July 31, 2014, will be for Regular Settlement; and
  2. All Trades on August 1st, 2014, will be for Special Two-day Settlement on August 6, 2014. These trades will appear on the CDS Settlement Report and will be recorded with a settlement date of August 6, 2014.

Règlement pour la négociation et le règlement – le 1er août 2014

8881723 Canada inc. (l'« initiateur ») a fait une offre en date du 13 juin 2014, afin d'acheter toutes les parts du Fonds de placement immobilier BLF (le « Fonds »), au prix de 7,50 $ en espèces par part du Fonds (« l'offre »). L'offre (telle que prolongée) expirera à 17h00 (heure de l'Est) le 1er août 2014 (le « moment d'expiration), à moins qu'elle ne soit retirée ou prolongée.

L'initiateur a le droit de retirer l'offre ou d'y mettre fin et de ne pas prendre livraison et effectuer le règlement des parts déposées en réponse à l'offre à moins que toutes les conditions décrites à l'offre aient été respectées ou que l'initiateur y ait renoncé au plus tard au moment d'expiration dont notamment que les détenteurs de parts aient validement déposé en réponse à l'offre, sans avoir révoqué le dépôt, au moins 66 ⅔ % des parts émises et en circulation. Veuillez vous référer à l'offre pour plus de détails relativement aux conditions de l'offre.

Les détenteurs de parts qui souhaitent accepter l'offre doivent remplir correctement et dûment signer la lettre d'envoi et la déposer, avec les certificats représentant leurs parts, aux bureaux de Services aux investisseurs Computershare inc. (le « dépositaire ») à Toronto de façon à ce qu'elle soit reçue au plus tard au moment d'expiration. Autrement, un détenteur qui souhaite déposer des parts mais qui ne peut obtenir immédiatement les certificats peut déposer les certificats représentant ses parts en suivant la procédure de livraison garantie présentée à l'offre.

Bourse de croissance TSX a été informée qu'aucun groupe de démarcheur n'a été formé pour les fins de l'offre et qu'aucun frais ne sera payable à un courtier ou un membre qui sollicite ou facilite l'acceptation de l'offre.

Règles obligatoires pour la négociation et le règlement:

Les règles suivantes pour la négociation et le règlement s'appliqueront.

Les acheteurs peuvent déposer les parts achetées dans la mesure où les achats sont complétés le ou avant le 1er août 2014 et que l'avis de livraison garantie (l'« avis ») est complété et déposé auprès du dépositaire le ou avant le 1er août 2014.

Les vendeurs de parts doivent être en mesure de livrer leurs parts à temps pour déposer les actions le ou avant le 1er août 2014 ou rencontrer le délai de livraison de trois jours pour tout avis qui pourrait être déposé par l'acheteur.

Procédure de règlement pour avis de livraison garantie

L'avis doit être complété et reçu par le dépositaire au plus tard au moment d'expiration. La lettre d'envoi ainsi que les actions visées par l'avis doivent être reçus par le dépositaire à Toronto au plus tard à 18 h (heure de l'Est) le troisième jour ouvrable suivant le moment d'expiration.

Règles de négociation et de règlement :

  1. Toutes les transactions du 31 juillet 2014 feront l'objet d'un règlement normal; et
