Each full Warrant entitles the holder to acquire one additional common share of the Company at a price of $0.90 for a period of two years.



Underwriters' Fee:                            

The Underwriters shall receive a fee equal to 7.5% of the gross proceeds from Units sold pursuant to the underwriting agreement between the Company and the Underwriters.



Greenshoe Option:                           

The Underwriters were granted an over-allotment option in connection with this Offering to purchase additional Units, up to 15% of the Offering, being 5,595,000 Units for additional gross proceeds of $3,916,500 which the Underwriters exercised in full.
