("Lakeside Acquisitions"), the Company has amalgamated with Lakeside Acquisitions.   Each shareholder of the Company received 0.4884 Lakeside Minerals Shares and 0.2442 Lakeside Minerals Warrants for each common share of the Company.  On an aggregate basis, the Company shareholders received an aggregate of 2,599,740 Lakeside Minerals Shares and 1,299,872 Lakeside Minerals Warrants.  Each Lakeside Minerals Warrant entitles the holder thereof to purchase one Lakeside Minerals share at a price of $0.10 per share for a period of three years from issuance.  An aggregate of 1,612,208 of the Lakeside Minerals Shares and 806,104 Lakeside Minerals Warrants are subject to a 36-month escrow period.  All of the outstanding stock options of the Company were cancelled on immediately preceding the Amalgamation.

The Exchange has been advised that the Amalgamation, approved by a majority of minority shareholders on June 16, 2014, has been completed.  The Company has filed a letter of transmittal on SEDAR to effect the share exchange.
