TSX Venture Exchange has accepted for filing documentation pursuant to a Mineral Property Option Agreement dated January 31, 2014 (the "Option Agreement"), between the Company and an arm's length party (the "Optionor). Pursuant to the Option Agreement, the Company has the option to acquire two packages of mineral tenures, comprised of: (i) five mineral tenures comprising 5,831 hectares located in the Liard Mining Division, BC, known as the Mount Sister Mary Property, and (ii) six mineral tenures located comprising 3,495 hectares in the Omineca Mining Division, BC, known as the Darb Lake Property (collectively, the "Properties").  In consideration, the Company will pay $18,500 in cash and issue 75,000 common shares of the Company ("Shares") at a deemed price of $0.225 to the Optionor within 10 days of receipt of Exchange acceptance of the Option Agreement. Additionally, under terms of the Option Agreement, the Optionor shall receive 150,000 Shares in each of the subsequent three years and 500,000 Shares in the fourth and final year (each a "Future Share Payment"), and the price of the any Future Share Payment must not be less that than the Discounted Market Price at the time of issuance..

The Optionor will retain a 2% net smelter return royalty (NSR) on production from the Properties, and the Company has the option at any time to reduce the NSR to 1% for a payment of $2,000,000 to the Optionor.

TSX Venture Exchange has accepted for filing documentation relating to a mineral claim and option purchase agreement (the "Agreement") dated May 16, 2014 between GoldON Resources Ltd. (the "Vendor") and PC Gold Inc. (the "Company").  Pursuant to the Agreement the Company shall acquire 38 mining claims owned by the Vendor, and all of the Vendor's rights, interest and obligations under an option agreement between the Vendor and an arm's length third party, in respect of an additional 5 mining claims.  All of the mining claims are located adjacent to the Company's Pickle Crow gold project in the Patricia Mining Division in Ontario.

As consideration, the Company shall issue 4,000,000 shares to the Vendor and pay $354,000 exploration expenses.  Also, in order to exercise its option on the additional 5 mining claims, the Company must pay an additional aggregate of $55,000 by March 28, 2017.

In accordance with TSX Venture Policy 2.4, Capital Pool Companies, the Company has not completed a Qualifying Transaction within the prescribed time frame. Therefore, effective at the opening on Wednesday, June 11, 2014, the Company's listing will transfer to NEX, the Company's Tier classification will change from Tier 2 to NEX, and the Filing and Service Office will change from Vancouver to NEX.

As of June 10, 2014, the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The trading symbol for the Company will change from PLP.P to PLP.H. There is no change in the Company's name, no change in its CUSIP number and no consolidation of capital. The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.

Effective at the opening on Wednesday, June 11, 2014, trading will be reinstated in the securities of the Company.  Please refer to the Company's press release dated June 10, 2014 for further information.

TSX Venture Exchange (the 'Exchange') has accepted for filing documentation pertaining to an agreement (the 'Agreement'), dated February 6, 2013, as amended, among Terrace Energy Corp. (the 'Company'), and BlackBrush Oil & Gas, L.P. ('BlackBrush'), whereby the Company and BlackBrush acquired a working interest in certain oil and gas properties located in Texas, under and pursuant to an underlying agreement among BlackBrush and SWEPI LP ('Shell').

Under the Agreement, the Company and BlackBrush committed, among other terms, to form a special purpose limited partnership (the 'SPLP'), held 50% by each party, pursuant to which the SPLP has the option to spend an aggregate of US$104 million on certain qualified expenditures (the 'Expenditures').

Upon making the Expenditures in full, the SPLP will pay 50% of all development costs for the right to participate at a 50% working interest in each subsequent well, unless Shell elects to convert its working interest in a producing formation into a net profits interest.
