Effective at the close of business on Monday, May 26, 2014, the common shares of Bear Lake Gold Ltd. ("Bear Lake") will be delisted from TSX Venture Exchange.  The delisting of Bear Lake shares results from a Plan of Arrangement (the "Arrangement"), dated February 25, 2014, between Bear Lake and Kerr Mines Inc. ("Kerr"), whereby Kerr has acquired 100% of Bear Lake's issued and outstanding common shares.

Under terms of the Arrangement, Bear Lake shareholders will receive 1.4 units of Kerr for each Bear Lake common share held.  Each unit will consist of one Kerr share and one-half of one Kerr warrant.  Each whole Kerr warrant entitles the holder to acquire one Kerr share at $0.16 for a two year period.

TSX Venture Exchange Inc. ("Exchange") has accepted for filing an Addendum to a Mining Rights Purchase Agreement (the "Addendum") dated May 15, 2014 between Bellhaven Copper & Gold Inc.'s (the "Company") wholly owned subsidiary, Aurum Exploration, Inc. and Alberto Montoya-Arbelaez ("Montoya") pursuant to which the Company will increase its interest in the La Mina Project located in Colombia from 46% to 76% with an additional option to acquire the remaining 24% interest.  The original Mining Rights Purchase Agreement dated May 14, 2010 was approved by the Exchange on October 20, 2010.  The aggregate consideration under the Addendum is:

  • 15,000,000 common shares issuable to Montoya on approval of the Addendum by the Exchange;

  • 10,000,000 common share purchase warrants issuable to Montoya where each warrant is exercisable by the holder to acquire one additional common share at an exercise price of $0.05 for a period of five years from issuance;

  • a cash payment of US$200,000 to Montoya; and

  • a cash payment of US$1,300,000 to Montoya on or before January 15, 2018 in order to exercise the option to acquire the remaining 24% interest.
