$8,000,039 Offering.  The Offering consists of 4,666,800 units (the "Units") at a price $0.75 per Unit and 6,164,300 common shares at a price of $0.73 per common share.  Each Unit consists of one common share and one-half of one common share purchase warrant (the "Warrant").  Each whole Warrant entitles the holder to purchase one additional common share at the exercise price of $1.05 per common share during a period of 24 months following the closing date.

Warrant Exercise Price:                         

$1.05 per common share during a period of 24 months following the closing date.



Underwriters' commission:                    

$595,357.28 in cash and 805,316 brokers warrants to purchase 805,316 common shares at an exercise price of $0.73 per common share during a period of 24 months following the closing date.



Over-Allotment Option:                         

The underwriters have been granted an over-allotment option, exercisable for a period of 30 days following the closing date, to purchase an additional number of common shares or warrants equal to 15% of the number of common shares or warrants sold pursuant to the offering.



The Exchange has been advised that the closing of the prospectus occurred on February 18, 2014, for aggregate gross proceeds of $8,000,039 (4,666,800 Units at $0.75 per Unit and 6,164,300 common shares at $0.73 per common share). In addition, the underwriters exercised part of the over allotment option to purchase 673,420 Units at a price of $0.75 per Unit representing $505,065.

La Bourse a été avisée que la clôture du prospectus a été effectuée le 18 février 2014, pour un produit brut total de 8 000 039 $ (4 666 800 unités à 0,75 $ par unité et 6 164 300 actions ordinaires à 0,73 $ par action ordinaire).
