TSX Venture Exchange has accepted for filing documentation pursuant to Participation and Unanimous Shareholders' Agreement (the "Agreement") dated March 12, 2014, between the Company and Rare Earth Minerals PLC ("REM"), an Arm's Length Party. Pursuant to the Agreement, the Company has granted REM certain rights to participate in drilling and project evaluation of the Company's Megalit, Buenavista and San Gabriel concessions in the Sonora State of Mexico (the "Concessions").  Under the Agreement, the Concessions' title will be transferred to Minera Megalit S.A. de C.V. ("Megalit"), a subsidiary of the Company, and REM will earn an initial 10% interest in Megalit by making an upfront cash payment of $250,000 and providing another $500,000 to the Company in two installments to be used for exploration and drilling on the Concessions, to be delivered in full by no later than two months from execution of the Agreement (the "Stage One").  Upon completion of the Stage One, REM shall have an option to increase its interest in Megalit by 20%, for an aggregate total of 30%, by providing written notice of exercise, together with delivery of an additional cash payment of $500,000, on or before May 31, 2014, and depositing a further $1,000,000 within 6 months of exercise of the option, in which the funds shall be used for drilling and exploration expenditures on the Concessions (the "Stage Two").  Following completion of the Stage Two, REM will have an exclusive option to negotiate terms to increase interest in Megalit from 30% to a maximum of 49.9%.
