In consideration of the transaction the Company will:

  • make an initial cash payment of $3.75 million to Claude;
  • issue shares to Claude of 9,776,885 shares at closing;
  • cash payments of $2,500,000 within 3 months of closing; and
  • make a cash or shares payment of $2,500,000 within 6 months of closing.

The Company will pay a success fee to:

  • Oxygen Capital Corp. - Units at a deemed value of $500,000 based on $0.25 per unit (2,000,000 units). Each Unit shall be comprised of one common share of the Company and one-half of one common share purchase warrant. Each whole warrant shall entitle its holder to subscribe for one common share during a period of 30 months following the date of its issuance, at a price of $0.50.
  • Macquarie Capital Markets Canada Ltd. - $300,000 in cash and common shares at a deemed value of $300,000 based on a $0.25 per share value (1,200,000 shares).
