Further to the Company's news releases dated December 31, 2013 and January 31, 2014, the common shares of Natunola Agritech Inc. (the "Company") will be delisted from TSX Venture Exchange effective at the close of business on Friday, February 21, 2014.

The delisting of the Company's common shares results from the completion of a Going Private Transaction, by way of a non-arm's length amalgamation ("Amalgamation") between 8716137 Canada Inc. (the acquirer) and the Company.  Pursuant to the Amalgamation, each shareholder of the Company, excluding Avrio Ventures Limited Partnership and Nam Fong Han, have been entitled to receive at the effective time of the Amalgamation, a redeemable preferred share of the amalgamated corporation ("Amalco") immediately redeemable for an aggregate consideration of $325,000 (corresponding to approximately $0.0068 per share of the Company), payable in the form of cash (the "Cash Alternative") or a promissory note from Amalco that would be paid, with interest equal to 10% percent per annum, over a two-year period, in each case subject to proration with the maximum available for the Cash Alternative being, in the aggregate, $225,000.

The Going Private Transaction was approved by a majority of the minority shareholders at the shareholders' meeting held on January 31, 2014.

(l'acquéreur) et la société.
