("Noka") whereby the Company has been granted an option to acquire a 60% interest in the Carpenter Lake property that is located in the Athabasca Basin, Saskatchewan.  Consideration is $50,000, 400,000 common shares and $1,250,000 in exploration expenditures over a three year period.

The property is subject to a 5% royalty on gross revenue retained by the underlying owner.  Subject to further Exchange review and acceptance, Noka has the right to reduce the royalty rate from 5% to 2% by the issue of Noka shares.  In the event that Noka should fail to exercise this right by certain dates specified in the agreement, Noka's joint venture interest shall be reduced or possibly forfeited.
