The TSX Venture Exchange Inc. (the "Exchange") has accepted for filing a letter of intent dated October 10, 2013 (the "Agreement") between Ashburton Ventures Inc. ("Ashburton") and Denali Resources Inc. ("Denali").  Under the Agreement, Ashburton has agreed to acquire a 100% interest in certain claims located in the Yukon Territory (the "Denali Property") in exchange for the issuance of an aggregate of 7,000,000 common shares in the capital of Ashburton and a cash payment in the amount of $50,000 to Denali.

Under the Agreement, Ashburton has granted Denali a net smelter royalty of 3% on four of the six groups of claims comprising the Denali Property and a separate net smelter royalty of 3% on two of the six groups of claims comprising the Denali Property. Ashburton has the right to repurchase 2% of each net smelter royalty from Denali by paying $2,000,000 in cash in respect of each net smelter royalty.
