("Neopharm") whereby the Company will sell to Neopharm all of the issued and outstanding shares of its wholly-owned subsidiary 4131185 Canada Inc. (the "Subsidiary") and a $50,001 promissory note (the "Note") owing by the Subsidiary to the Company in consideration for Neopharm paying the Company the face value of the Note plus one dollar.  Neopharm will reimburse the Company for legal fees up to a maximum of $25,000 incurred by the Company in connection with this sale transaction.

In a separate transaction and pursuant to a Lease Assignment Agreement dated November 28, 2013 between the Company, Toval Developments Inc. ("Toval") and 9290-0075 Quebec Inc.  Toval will fully release the Company from certain remaining obligations pursuant to an operating lease in respect of a property in Laval, Quebec that is owned by Toval.  The Company will pay $893,886.26 to Toval for the termination of this long-term lease.
