TSX Venture Exchange has accepted for filing documentation pursuant to an Letter of Intent dated September 28, 2013 and a Share Purchase Agreement dated November 7, 2013 (the "Agreements") between the Company and LonDan Enterprises Ltd., an arm's length party (the "Vendor"). Pursuant to the Agreements, the Company has agreed to acquire all outstanding securities and operating assets of the Vendor, located in Edson, Alberta, which provides oilfield rental services, transportation services and emergency service vehicle rentals in addition to the provision, sale, rental and/or manufacturing of a variety of oilfield and transportation equipment. . In consideration, the Company paid $3,500,000 in cash and issued 137,741 common shares of the Company ("Shares") at a deemed price of $3.63 per Share.

Additionally, the Exchange notes that in the event the Vendor's EBITDA is greater than $1,400,000 during the year following closing, the Company will pay an additional earn-out amount of up to $1,500,000 based on the Vendor's EBITDA pursuant to the terms under the Agreements.
