TSX Venture Exchange has accepted for filing the documentation pursuant to which Freyja Resources Inc. ("Freyja") has acquired 100% of the issued and outstanding common shares in the capital of Cyprium Mining Corporation ("Cyprium") pursuant to an arm's length offer to purchase all of the Cyprium shares dated August 9, 2013, in consideration of a total of 9,705,000 Freyja common shares and 3,222,500 Freyja share purchase warrants to purchase 3,222,500 Freyja common shares at exercise prices varying between $0.10 per share and $0.27 per share up to November 2017.

In connection with the above-mentioned transaction, Freyja paid arm's length finders' fees to Gestion Karl Mansour Inc., Gestion Carl Desjardins Inc., Gestion Jean-François Meilleur Inc. and 9132-8757 Québec Inc. consisting of 220,000 Freyja common shares and 440,294 non-transferable Freyja warrants. Each finder's warrant allows the holder to purchase one Freyja common shares at an exercise price of $0.215 per share for a period of five years.

Cyprium, through its wholly-owned subsidiary Cyprium Mining de Mexico SA de CV has acquired in June 2013 a 50% interest in Coyame Copper SA de CV. ("Coyame Copper"), in consideration of $120 in cash and a commitment to loan Coyame Copper US$500,000 within six months of the closing of such acquisition. Cyprium interest in Coyame Copper will increase to 51% upon repayment of a shareholder loan to founders of Coyame Copper in the amount of 1.25 million Mexican pesos (approximately $100,000). Cyprium has an option to purchase an additional 19% of the issued and outstanding shares of Coyame Copper in consideration of US$1,200,000 payable over 18 months following the exercise of the option. Coyame Copper owns four mining concessions located in Mexico.

Bourse de croissance TSX a accepté le dépôt de la documentation en vertu de laquelle Ressources Freyja inc. (« Freyja ») a acquis 100 % des actions ordinaires émises et en circulation dans le capital de Cyprium Mining Corporation (« Cyprium »), en vertu d'une offre d'achat datée du 9 août 2013 pour acquérir toutes les actions de Cyprium auprès de personnes sans lien de dépendance, en considération d'un total de 9 705 000 actions ordinaires de Freyja, 3 222 500 bons de souscription de Freyja permettant de souscrire 3 222 500 actions ordinaires de Freyja à des prix d'exercices variant entre 0,10 $ par action et 0,27 $ par action jusqu'en novembre 2017.

Freyja a payé des honoraires d'intermédiation à des personnes sans lien de dépendance, soit Gestion Karl Mansour Inc., Gestion Carl Desjardins Inc., Gestion Jean-François Meilleur Inc. et 9132-8757 Québec Inc. qui consistent en 220 000 actions ordinaires de Freyja et 440 294 bons de souscription non-transférables de Freyja. Chaque bon de l'intermédiaire permettra au détenteur de souscrire une action ordinaire de Freyja au prix d'exercice de 0,215 $ par action pendant une période de cinq ans.

Cyprium, par le biais de sa filiale à part entière Cyprium Mining de Mexico SA de CV, a acquis en juin 2013 un intérêt de 50 % dans Coyame Copper SA de CV. (« Coyame Copper »), en considération de 120 $ en espèces et un engagement de prêter à Coyame Copper la somme de 500 000 $ US dans les six mois suivant la clôture de cette acquisition. L'intérêt de Cyprium dans Coyame Copper augmentera à 51 % lors du remboursement d'un prêt d'actionnaires à des fondateurs de Coyame Copper au montant de 1,25 million de pesos mexicain (approximativement 100 000 $). Cyprium a une option d'acquérir un intérêt additionnel de 19 % des actions émises et en circulation de Coyame Copper en considération of 1 200 000 $ US payable sur 18 mois suivant l'exercice de cette option.
