TSX Venture Exchange has accepted for expedited filing documentation of an Amended Lease and Option Agreement dated October 25, 2013 between Timberline Resources Corporation (the "Company") and David C. and Debra J. Knight Living Trust (the "Optionor") whereby the Company may acquire additional mining claims in Kobeh Valley, Eureka County, Nevada in consideration for 200,000 common shares of the Company. This agreement amends the original Lease and Option Agreement dated August 15, 2013 as accepted by the Exchange by bulletin dated September 10, 2013.

The Optionor shall retain a 3% Net Smelter Return (the "NSR") royalty from the production of minerals. Until the commencement of commercial production, the Company may reduce the NSR by payment of $1,500,000 for each 1% reduction; the NSR may not be reduced to an amount less than 1%.  The Company shall pay the Optionor an advance royalty payment of $25,000 beginning on the 19-month anniversary of the Agreement and every 12 months thereafter, as long as the Company continues to maintain the mineral properties, until the Company commences commercial production on any of the mineral properties acquired.

In accordance with TSX Venture Policy 2.5, the Company has not maintained the requirements for a TSX Venture Tier 2 company.  Therefore, effective at the opening on Wednesday, October 30, 2013, the Company's listing will transfer to NEX, the Company's Tier classification will change from Tier 2 to NEX, and the Filing and Service Office will change from Vancouver to NEX.

As of October 30, 2013, the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The trading symbol for the Company will change from ZN to ZN.H.  There is no change in the Company's name, no change in its CUSIP number and no consolidation of capital.  The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.

Further to the Exchange Bulletin dated April 11, 2013, trading in the shares of the Company will remain suspended.

Members are prohibited from trading in the securities of the Company during the period of the suspension or until further notice.
