(Bill Boswell), as Payee, and the Company whereby the Company has acquired a 100% interest in an uranium exploration property that is located within the Athabasca Basin in northern Saskatchewan.  The aggregate consideration is $75,000 and 5,000,000 common shares of which each of the Vendors will receive 1,125,000 common shares and the Payee will receive 500,000 common shares.  The Vendors retain a 3% Net Smelter Royalty on the sale of all mineral resources from the property with the exception of any diamonds found on the property for which the Vendors retain a 3% gross overriding royalty.
