TSX Venture Exchange has accepted for filing Two Purchase and Sales Agreements dated July 11, 2013 between North Arrow Minerals Inc. (the "Company") and Anglo Celtic Exploration Ltd. ("Anglo Celtic"), whereby the Company has agreed to purchase and acquire Anglo Celtic's right, title and interest in the Luxx and the Mel Properties in Nunavut.

Consideration under these agreements consists of:

  • A 1% gross overriding royalty.  The Company will retain the right to buy back half of each royalty (0.5%) for $1 million at any time.
  • Issuance to Anglo Celtic of a total of 500,000 (250,000 for each agreement) transferrable share purchase warrants.  Each warrant will entitle Anglo Celtic to acquire one common share of the Company at a price of $0.65 for a period of five years from the closing date of the purchase and sale.

The Company has confirmed that the transaction has closed on August 19, 2013.
