TSX Venture Tier 2 Company

TSX Venture Exchange has accepted for filing an option amending agreement dated July 19, 2013 (the 'Agreement') between the Company and Boliden Limited ('Boliden') and Rick Kasum ('Kasum').  Pursuant to the terms of the Agreement, the Company has negotiated an amendment to the schedule of payments for two previously signed option agreements, the 2007 agreement for the Dilworth Property (the '2007 Agreement') and the 2009 agreement for the Premier Property (the '2009 Agreement').

The 2007 Agreement has been amended such that the remaining option payment of $9,100,000 previously due by October 1, 2013 will now to payable as follows:

  • $400,000 on or before December 30, 2013
  • $400,000 on or before December 31, 2014
  • $4,150,000 on or before December 31, 2015

A 5% NSR in favour of Boliden and Kasum has also been created, and may, subject to certain conditions, be repurchased by the Company for $4,150,000.

The 2009 Agreement has been amended to allow for changes to the last option payment of $20,000,000 owed to Boliden and due on October 1, 2013 as follows:

  • $500,000 on or before December 30, 2013
  • $500,000 on or before December 31, 2014
  • $9,950,000 on or before December 31, 2015

A 5% NSR in favour of Boliden has also been created, and may, subject to certain conditions, be repurchased by the Company for $9,950,000.
