Qualifying Transaction-Completed/New Symbol:

TSX Venture Exchange Inc. (the "Exchange") has accepted for filing Aston Bay Holdings Ltd.'s (formerly Escudo Capital Corporation) (the "Company") Qualifying Transaction described in its Filing Statement (the "Filing Statement") dated February 28, 2013. As a result, effective at the opening on Monday, May 6, 2013, the trading symbol for the Company will change from EDO.P to BAY and the Company will no longer be considered a Capital Pool Company. The Qualifying Transaction includes the following matters, all of which have been accepted by the Exchange.

Property-Asset or Share Purchase Agreement:

The Company has entered into an arrangement agreement (the "Arrangement Agreement") dated January 11, 2013, as amended, with Aston Bay Ventures Ltd. ("Aston Bay"), a private British Columbian company, to effect the acquisition of all of the issued and outstanding common shares of Aston Bay (the "Acquisition").

Pursuant to the terms of the Arrangement Agreement, each of the issued and outstanding common shares of Aston Bay will be transferred to Escudo Capital Corp. in exchange for one common share of Escudo Capital Corp.

Aston Bay holds four prospecting permits held by Michael Dufresne on behalf of Aston Bay and has the option to acquire up to a 70% interest in four additional prospecting permits held by Commander Resources Ltd. ("Commander") pursuant to a Letter of Agreement (the "LOA") dated November 17, 2011, as amended. The prospecting permits are located on Somerset Island, Nunavut.

The Exchange has been advised that the Transaction has been completed. The full particulars of the Company's Qualifying Transaction are set forth in the Filing Statement dated February 28, 2013, which have been accepted for filing by the Exchange and which are available under the Company's profile on SEDAR.

TSX Venture Exchange has accepted for filing a mineral agreement dated April 5, 2013 (the 'Agreement') between the Company and Steven Van Ert and Noel Cousins (the 'Vendors'). Pursuant to the terms of the Agreement, the Company may acquire 100% of certain mining claims in the Perditio oxide gold project located in Inyo County, California (the 'Property'). By way of consideration, the Company will make cash payments to the Vendors totaling $710,000 and issue a total of 6,500,000 shares, both staged over a three-year period. Upon completion of a bankable feasibility study, the Company will issue a further 2,500,000 shares to the Vendors. The Property is subject to a 3% NSR in favour of the Vendors, and the Company may repurchase up to 1% of the NSR for $500,000 per 0.5% up to the second anniversary of the effective date of the Agreement. After this date, and up to the fourth anniversary, the Company may repurchase up to 1% of the NSR for $1,000,000 per 0.5% of the NSR.

A finder's fee of $83,750 is payable in cash to an arm's length party, Transcend Resource Group Inc. (Etienne Moshevich, Charanjit Hayre). The fee will be paid in stages as cash payments and shares are issued to the Vendors under the terms of the Agreement and subject to the limits of Exchange Policy.
