of the Company and (ii) 0.5 of one common share purchase warrant
(each such whole warrant, a "Warrant") upon satisfaction of the
Escrow Release Conditions (as defined in the Prospectus).
   
Unit Price:  $0.32 per Unit (the "Offering Price")
   
Warrant Exercise Price/Term:  Each Warrant entitles the holder thereof to acquire one additional
common share in the capital of the Company (a "Warrant Share")
at an exercise price of $0.45 per Warrant Share for a period of 18
months following the date of issuance.
   
Agent Warrants:  The Agents received, in aggregate, a cash commission of $108,000
(based on the Canadian-Australian currency exchange rate indicated
in the Prospectus), being an amount equal to 6% of the gross proceeds
from the sale of the common shares comprising the Units, being an
amount equal to 30% of the Offering Price; and will receive, upon
conversion of the Subscription Receipts, a cash commission of
$252,000, being an amount equal to 6% of the gross proceeds from
the sale of the Subscription Receipts comprising the Units, being an
amount equal to 70% of the Offering Price.
