Amendment:            For each warrants exercised, the warrant holder will receive a unit comprised of one common share and one-half of one whole warrant (new warrant).  Each whole new warrant is exercisable into an additional common share at $0.30 per share to November 9, 2014.

TSX Venture Exchange has accepted for filing an option agreement dated April 14, 2012 between Minera Meridian Minerals S.R.L. de C.V. ('Minera') and the Company.  The Company has acquired the right to earn a 100% interest, subject to a 2% net smelter return royalty, in 14,426.7 hectares on eight exploration concessions located in the Ollitas Mining District, Municipality of San Ignacio, Sinaloa, Mexico (the 'Property'). To earn an initial 70% interest in the Property the Company must pay $400,000 cash, issue 6,500,000 shares and spend $8 million on exploration over 4 years as follows:

  • $100,000 cash and 3,000,000 shares paid on closing;
  • $100,000 cash, issue 1,500,000 shares and $500,000 of exploration in year 1;
  • $100,000 cash, 1,000,000 shares and $1,500,000 of exploration in year 2;
  • $100,000 cash, 1,000,000 shares and $2,500,000 of exploration in year 3; and
  • $3,500,000 of exploration in year 4.

Once earning its initial 70% interest, the Company has the option for 90 days to acquire the remaining 30% interest in the Property for $750,000 and 3,000,000 shares (the 'Additional Option').

If the Company does not exercise the Additional Option, Minera has the right to back-in to increase its ownership of the Property to 70% by paying the Company three times its exploration expenditures.
