Reverse Takeover Transaction

The TSX Venture Exchange has accepted for listing BluMetric Environmental Inc.'s (the "Company") Reverse Takeover ("RTO"), described in its Information Circular dated September 20, 2012 which consists of the following transactions:

Share Purchase Agreement and Amalgamation

Pursuant to a share exchange agreement entered into between the Company, WESA Group Inc. (the "Target"), and shareholders of the Target, dated September 20, 2012, the Company acquired all of the shares of the Target in exchange for the issuance of 14,157,433 Company shares and 2,831,325 Series I Special Shares ("Special Shares"). The Target subsequently amalgamated with the Company.

Each Special Share will be automatically converted into common shares of the Company on the earlier of (i) completion of a qualified financing that occurs subsequently to the current transaction for gross proceeds of not less than $2,000,000, for an issue price of not less than $0.664 per common share, and (ii) July 2, 2013. In the case of conversion upon a qualified financing, the conversion ratio will be a fraction equal to $0.664 divided by the issue price. In the case of a conversion in the absence of a qualified financing, the conversion ratio will be a fraction equal to $0.664 divided by the volume weighted average trading price of the common shares on the TSX.V during the period from June 3, 2013 through June 28, 2013; provided that the conversion ratio will not be greater than 1:1, and the maximum number of common shares to be issued will be 2,831,325.

Resume Trading

Effective at the opening on Thursday, November 22, 2012, the common shares of Blumetric Environmental Inc. will commence trading on TSX Venture Exchange.

Private Placement

Concurrently with the RTO, the Company completed a brokered private placement financing (the "Financing") consisting of an aggregate of 1,558,206 shares of the Company at $0.67 per share. These shares are subject to a four month statutory hold period. Jacob Securities Inc. received 66,184 broker warrants with each warrant being exercisable into one Company share at $0.67 until November 16, 2014.
