(the "Company") and Peter Nicol Russell-Jones ("Russell-Jones") dated May 9, 2011 under which Russell-Jones will hold 15 shares of Mibia Energy Proprietary Limited ("Mibia") on behalf of the Company.  Mibia is a Namibian company that that was formed by Russell-Jones at the request of the Company for the purpose of pursuing and evaluating offshore energy projects and licensing opportunities in Namibia.  The Company paid $200,000 for the 15 shares of Mibia which represents a 15% interest in Mibia.

Insider / Pro Group Participation:  Russell-Jones was president and Chief Executive Officer at the time the Agreement was entered into.

TSX Venture Exchange has accepted for filing an amendment to Option Agreement Over Lease- Laura Property dated September 7, 2012 between Sniper Resources Ltd. and Sniper Resources (U.S.) Inc. (the Company and Columbus Gold (U.S.) (the Vendor) whereby the original agreement dated April 13, 2011 between the Company and the Vendor has been amended in regards to the remaining 30% interest to be acquired.  The Company may now elect to purchase the Vendor's 30% interest for a period of 75 days following the date on which the Option is deemed to have been exercised for 1,500,000 common shares and a perpetual 1.5% NSR for production on the property.
