("Geomark").  Approval of the Arrangement was obtained from shareholders from both the Company and Geomark at separate Special Meeting of Shareholders both held on October 18, 2012.  Pursuant to the terms of the Arrangement, shareholders of Geomark received 1.5 of a common share of the Company for each common share of Geomark ("Geomark Share") held.  Accordingly, 81,767,641 common shares of the Company were issued.

The common shares of the Company will be delisted from trading on Toronto Stock Exchange effective at the close on Tuesday, October 22, 2012 at the request of the Company.  The Company no longer meets Toronto Stock Exchange minimum listing requirements and also does not meet the requirements of a TSX Venture Tier 2 company.
