("CanAlaska") whereby the Company is optioning a 100% interest in the 14,000 hectare Reefton Gold Project, an exploration project located in South Island, New Zealand.  CanAlaska is retaining a 2% NSR with a 50% buy-back for C$1,000,000.  The total aggregate consideration is C$318,000 comprised of $300,000 cash ($25,000 payable by December 31, 2012, $25,000 payable by December 31, 2013, $50,000 payable by December 31, 2014, and $200,000 payable in Q1 of 2015).  The remaining C$18,000 is payable by the issuance of 300,000 common shares at a deemed price of $0.06 per share in Q1 2015.  The Company must also pay lease rentals to the New Zealand government in the amount of approximately C$50,000 per annum, and conduct an exploration program including 1,500 metres of drilling by December 31, 2014.  A finder's fee of 300,000 shares (payable 100,000 shares upon Exchange acceptance and 200,000 shares upon final exercise of the option) will be paid to Merrex Gold Inc.  The transaction is at arm's length.
