Further to the Exchange Bulletins dated February 24, 2011, July 7, 2011, and January 4, 2012, TSX Venture Exchange has accepted for filing documentation relating to a further amendment of the Acquisition Agreement dated July 22. 2010 ('Acquisition Agreement'), pursuant to an amending agreement dated July 2, 2012 ('Amendment Agreement') among Pacific Wildcat Resources Corp. (the 'Company'), Stirling Capital Limited, Cortec (Pty.) Ltd., Finebrook Investments Pty. Ltd, as trustees for the O'Sullivan Superannuation Fund ('O'Sullivan Fund'), Dunross Capital Ltd. ('Dunross') (O'Sullivan Fund and Dunross are collectively the 'Vendors').

Under the terms of the Amendment Agreement:

  1. The closing date of the acquisition was extended to September 12, 2012, and although the balance of the consideration payable to the Vendors remains unchanged, the method of payment has been revised.
  2. The Vendors will receive an aggregate of 92,592,244 common shares at a deemed price of $0.11 per share to satisfy $10,185,147 of the amount previously payable in cash to the Vendors.
  3. The issuance of a convertible promissory note for a principal amount of $775,000 to the Vendors, repayable on or before 12 months from the date of issuance, bearing interest at a rate of 1% per month compounded monthly. The note is convertible at a price of $0.11 per share.
  4. The issuance of 4,507,584 shares due to the Vendors on the previously agreed terms of Acquisition Agreement and the relevant amendments thereto.
  5. The Company must complete a debt or equity financing to raise a minimum of $3,000,000 and a maximum of $5,000,000, at no less that $0.11 per share.
  6. The Vendors will appoint two nominees to the board of directors of the Company.

Upon closing of the acquisition, the Vendors will each hold approximately 24.07% of the Company issued and outstanding shares on a non-diluted basis. The Company has sought and obtained disinterested shareholder approval for the creation of a control position as defined by Exchange Policy.
