Property-Asset or Share Disposition Agreement
TSX Venture Exchange has accepted for filing documentation pursuant the Arrangement Agreement dated June 3, 2012 (the "Agreement") between the Company and PetroMinerales Ltd. (the "PetroMinerales"), a TSX listed company, whereby PetroMinerales will acquire the Company's wholly-owned subsidiary, Veraz Petroleum Peru S.A.C. ("Veraz Peru") by way of plan of arrangement (the "Arrangement").  Veraz Peru holds all of the Company's oil and gas assets, being its 20% non-operated interest in exploration Blocks 126, 141 and 161. In consideration, the Company received 524,871 common shares of Petrominerales ("Petrominerales Shares") of which 314,716 Petrominerales Shares will be distributed to shareholders of the Company.

Transfer and New Addition to NEX, Symbol Change
In accordance with TSX Venture Policy 2.5, following the Arrangement the Company will no longer maintain the requirements for a TSX Venture Tier 2 company. Therefore, effective at the open, Monday, July 30, 2012, the Company's listing will transfer to NEX, the Company's Tier classification will change from Tier 2 to NEX, and the Filing and Service Office will change from Calgary to NEX.

As of July 30, 2012, the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The trading symbol for the Company will change from VRZ to VRZ.H. There is no change in the Company's name, no change in its CUSIP number and no consolidation of capital. The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.
