TSX Venture Exchange has accepted for filing documentation pertaining to an Asset Purchase Agreement (the "Agreement") effective as of June 25, 2012, between Medifocus Inc. (the "Company") and Boston Scientific Corporation (the "Vendor"), whereby the Company has agreed to purchase all the assets of the Vendor's "Prolieve" business - which sells devices for the treatment of benign prostatic hyperplasia (BPH) and was part of the Vendor's Women's Health and Urology division.

The total purchase price for the said assets is US$5,000,000 in cash of which US$2,500,000 will be due on closing with the remainder being paid in quarterly installments, contingent upon the sales performance of the Prolieve business, up to a maximum additional amount of US$2,500,000.

The assets acquired by Company include all Prolieve inventory, the Rocky Mountain Mobile Services mobile distribution assets, as well as the family of intellectual property associated with the Prolieve technology.
