Total consideration consists of 500,000 shares of the Company due upon Exchange approval, and funding of $1,000,000 in work expenditures over three years, payable to International Samuel as operator of the property.  In the case that either participant's interest in the property is reduced to 10% or less, then such interest will be transferred to the other participant, and the diluted participant will be granted a 1% net smelter returns royalty.
