TSX Venture Exchange has accepted for filing a letter agreement dated April 12, 2012 between Kayuco Universal Ltd. ('Kayuco') and the Company.  The Company will acquire all the shares of Kayuco by paying to the shareholders of Kayuco $3,000,000 cash and 10,000,000 shares.

Kayuco's sole asset is an 80% interest in the Petroleum Exploration License No. 0054 to explore within block number 1811B offshore Namibia.

Pursuant to a Petroleum Agreement dated November 8, 2011 Kayuco must carry out a minimum of US$5,000,000 of exploration work on the property by March 28, 2016.

The remaining 20% interest is a carried interest with certain back-in rights held 5% by NAMCOR (the Namibian state oil company) and 15% by Lunganda Trading Enterprises (Namibian economic empowerment group).

NAMCOR also has a provision for 5% equity if more than 300bbl are discovered on Block 1811B.
