Conversion Terms:            Each Bond has a nominal value of NOK$500,000 and has a term of three years having a
coupon rate of 12% per annum, payable annually in arrears commencing one year after
closing. The principal amount of the Bond may be convertible into common shares of the
Company at a deemed price of NOK$0.85 per share (Cdn. equivalent $0.146. Up to
105,882,352 shares).
       
                     
            After the first coupon date in 2013, the Company may call the remaining part of the loan
at its par value plus accrued interest, provided that the parity value has exceeded
NOK$750,000. In addition, the Company may, at any time during the term of the loan,
and provided that 90% or more of the originally issued Bonds have been redeemed or
converted into shares, call the remaining part of the loan at its par value plus accrued
