In accordance with TSX Venture Policy 2.4, Capital Pool Companies, the Company has not completed a Qualifying Transaction within the prescribed time frame. Therefore, effective at the opening on Wednesday, May 23, 2012, the Company's listing will transfer to NEX, the Company's Tier classification will change from Tier 2 to NEX, and the Filing and Service Office will change from Vancouver to NEX.

As of May 23, 2012, the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The trading symbol for the Company will change from AIN.P to AIN.H.  There is no change in the Company's name, no change in its CUSIP number and no consolidation of capital. The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.

Further to the TSX Venture Exchange Bulletin dated February 22, 2012, trading in the Company's securities will remain suspended.

TSX Venture Exchange has accepted for filing the documentation relating to an arm's length agreement between 9220-5392 Québec Inc. (the "Purchaser") and Glen Eagle Resources Inc. (the "Company"). Pursuant to that agreement, the Company has agreed to sale its interest in the Barry Souart Gold property.

For the sale of a 75% interest in the property, the consideration payable to the Company consists in the payment by the Purchaser of $300,000 in cash. The Company's 25% remaining interest can be purchased by the purchaser for $500,000 over a period of 36 months.

The Company has kept a 1% royalty on a Net Smelter Return (NSR).
