In accordance with TSX Venture Exchange Policy 2.4, Capital Pool Companies, the Company has not completed a qualifying transaction within the prescribed time frame. Therefore, effective Wednesday, May 2, 2012, the Company's listing will transfer to NEX, the Company's Tier classification will change from Tier 2 to NEX, and the Filing and Service Office will change from Toronto to NEX.

As of May 2, 2012, the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The trading symbol for the Company will change from ACY.P to ACY.H. There is no change in the Company's name, no change in its CUSIP number and no consolidation of capital. The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.

Further to the TSX Venture bulletin dated January 30, 2012, trading in the shares of the Company will remain suspended. Members are prohibited from trading in the securities of the Company during the period of the suspension or until further notice.

Agent's Fee:            Canaccord Genuity Inc (the "Agent") will receive a cash commission of $47,000
and 395,000 common share purchase warrants ("Agent Warrants"). Each Agent

Effective at opening, on Wednesday, May 2, 2012, following transfer to NEX, as set forth below, the common shares of the Company resumed trading on NEX, an announcement having been made on April 30, 2012.

Property-Asset or Share Disposition Agreement

TSX Venture Exchange has accepted for filing final documentation in respect of the Company's arm's length disposition (the Sale) of the Block, referred to below, to Genel Energy plc (Genel), a London Stock Exchange listed company, which Sale constitutes a sale of all or substantially all of the assets of the Company.

The Sale of the Company's 40% undivided interest in the Chia Surkh Block in the Kurdistan area of Iraq (the Block) pursuant to the terms of a sale and purchase agreement dated January 16, 2012 and entered into between the Company and Genel (the Purchase and Sale Agreement), which contemplates  consideration of US$68 million, of which US$37 million is payable to the Company and US$31 million is payable directly to the Kurdistan Regional Government, as settlement of outstanding capacity building bonus payments, transaction costs, and related interest due under the Production Sharing Contract related to the Block.

As a result of the Sale of the Block, the Company no longer satisfies TSX Venture Exchange continued listing requirements and its listing is being transferred to NEX.

The Company issued a news release regarding the Sale and the transfer to NEX on April 30, 2012, which may be found on SEDAR.

Transfer and New Addition to NEX, Symbol Change

Effective at the opening, on Wednesday, May 2, 2012 the common shares of the Company will commence trading on NEX.

As a result of the Sale, the Company will no longer meet the continued listing requirements of a TSX Venture Tier 2 company.

As of May 2, 2012 the Company is subject to restrictions on share issuances and certain types of payments as set out in the NEX policies.

The symbol extension differentiates NEX symbols from Tier 1 or Tier 2 symbols within the TSX Venture market.  The Company is classified as an 'oil and gas exploration and development' company.
